Terms of Service

Welcome to FoodyDex. These Terms of Service ("Terms") are a binding legal agreement between you and FoodyDex Inc. that govern your use of our platform, including our website, directory, maps, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Who We Are

FoodyDex Inc. ("FoodyDex," "we," "us," or "our") operates a food discovery and directory platform for food trucks, stands, caterers, home kitchens, and related food businesses. Our address is 2700 N Perris Blvd Unit 55, Perris, CA 92571, United States (subject to change). We operate in the United States, based in Riverside, California.

2. FoodyDex's Role

FoodyDex provides a platform that enables users to discover, browse, and connect with food vendors. As the provider of the platform, FoodyDex does not own, control, offer, or manage any vendor listings, menus, food products, or services. FoodyDex is not a party to any contracts entered into directly between users and vendors, nor do we act as an agent, broker, or guarantor for any user or vendor. We are not involved in any transaction between users and vendors beyond facilitating the submission of booking inquiries through our platform.

3. Eligibility

You must be at least 13 years old to use the Service. By using FoodyDex, you represent and warrant that you meet this age requirement and are not barred from using the Service under the laws of the United States, your place of residence, or any other applicable jurisdiction.

4. Accounts

You may need an account to use certain features, including:

  • Writing reviews
  • Creating a profile page
  • Applying to become a vendor
  • Using vendor tools such as the point of sale system
  • Favoriting vendors and managing preferences

You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You must immediately notify us if you suspect that your credentials have been compromised.

5. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not use the Service to harass, abuse, or harm others, or to post content that is false, misleading, defamatory, or violates any law or third-party rights. You are responsible for your own acts and omissions and for the acts and omissions of anyone you invite to use the Service on your behalf.

6. Your Assumption of Risk

You acknowledge that use of the Service and any interaction with vendors carries inherent risks. To the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the Service, including your visits to vendors, consumption of food, participation in events, or any other interaction you have with vendors or other users, whether in person or online. This includes, but is not limited to, risks of illness, bodily injury, allergic reactions, or other harm. You are responsible for investigating vendors and their offerings to determine whether they are suitable for you.

7. Reviews and User-Generated Content

We allow users to post reviews of vendors. Moderation of reviews is performed by the FoodyDex team. Removal of reviews is only allowed by FoodyDex team members. If you believe a review violates our guidelines, you may report it by emailing report@foodydex.com. We do not endorse, verify, or guarantee the accuracy of any user-generated content. You retain ownership of content you post but grant us a license to use it in connection with the Service.

8. Bookings

Booking inquiries are submitted through a form on our platform. All communication between users and vendors regarding bookings is conducted by email. Vendors contact users directly to finalize bookings outside of FoodyDex. We do not collect payments for bookings, do not facilitate any payment transactions between users and vendors, and are not responsible for any payment, refund, cancellation, no-show, or dispute between users and vendors. Any disputes regarding bookings must be resolved directly between the user and the vendor. We have no obligation to assist in resolving such disputes.

9. Location and Discovery

We use Mapbox and location-based services to help you discover food vendors near you. By using the Service, you consent to the collection and use of your location data as described in our Privacy Policy. We do not guarantee the accuracy, completeness, or availability of any location data or vendor information displayed on the Service.

10. Intellectual Property

FoodyDex and all associated branding, logos, trademarks, and marks are the property of FoodyDex Inc. You may not use our trademarks, logos, or branding without our prior written permission. You may not copy, modify, distribute, sell, or create derivative works of the Service or any content owned by FoodyDex.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. FOODYDEX (AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY.

Without limiting the foregoing, we do not endorse or warrant the existence, conduct, performance, safety, quality, legality, or suitability of any vendor, user, food product, menu item, offer, event, or third party. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not verify, endorse, or guarantee the accuracy of any vendor listings, menus, pricing, or other content. Any references to verification or similar language indicate only that a process was completed and nothing else. These disclaimers apply to the maximum extent permitted by law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER FOODYDEX NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICE WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS, ILLNESS, ALLERGIC REACTIONS, OR WRONGFUL DEATH ARISING OUT OF OR IN CONNECTION WITH: (I) THESE TERMS, (II) YOUR USE OF OR INABILITY TO USE THE SERVICE, (III) ANY COMMUNICATIONS, INTERACTIONS, OR MEETINGS WITH VENDORS OR OTHER USERS, (IV) ANY FOOD CONSUMED, EVENT ATTENDED, OR TRANSACTION WITH A VENDOR, (V) ANY VENDOR CONTENT, LISTINGS, OR REPRESENTATIONS, OR (VI) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FOODYDEX HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT WILL FOODYDEX'S AGGREGATE LIABILITY FOR ANY CLAIM OR DISPUTE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS (US$100), OR THE AMOUNT YOU PAID TO FOODYDEX, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

These limitations of liability are fundamental elements of the agreement between you and FoodyDex. If applicable law does not allow the limitations set out above, such limitations may not apply to you, but our liability will be limited to the maximum extent permitted by law.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at FoodyDex's option), indemnify, and hold FoodyDex and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Terms, (ii) your use or misuse of the Service, (iii) your interaction with any vendor or user, including any visit, transaction, consumption of food, or attendance at an event, (iv) any injury, loss, or damage of any kind arising from or relating to your use of the Service or your interaction with vendors, (v) your user-generated content, or (vi) your violation of any law or third-party rights.

14. Vendors

If you are a vendor listing on FoodyDex, the following Vendor Terms of Service also apply.

FoodyDex Is a Platform Only—No Liability for Vendor Conduct

FoodyDex is not responsible for anything you promote, represent, or do on or through our technology. We provide a passive directory, discovery, and listing platform. FoodyDex does not own, control, manage, or act as an agent for any vendor or vendor listing. We do not verify the accuracy of vendor content, inspect premises, provide legal advice, or guarantee that offerings will match listed descriptions, be priced as shown, or comply with applicable laws.

You are solely responsible for:

  • Your business practices, operations, and conduct
  • All content you publish (menus, photos, offers, events, pricing)
  • Compliance with all applicable laws, permits, licenses, and food safety guidelines
  • Any claims, representations, or warranties you make to users
  • Food preparation, storage, handling, and allergen disclosure

FoodyDex does not endorse, guarantee, or take responsibility for your offerings, food quality, safety practices, or conduct. We are not a party to any agreement between you and users.

Independence of Vendors

Your relationship with FoodyDex is that of an independent business entity. You are not an employee, agent, joint venturer, or partner of FoodyDex. FoodyDex does not direct or control your business operations, and you have complete discretion over your offerings, pricing, and conduct.

Licenses and Permits

A valid business license is optional but recommended. If you have applicable licenses or permits (e.g., for food trucks, stands, catering, or home kitchen operations), we encourage you to add them to your profile. If applicable licenses are required for your operation by law and you do not provide or maintain them, you may face disciplinary action from FoodyDex, including suspension or removal from the platform. You are responsible for understanding and complying with all laws that apply to your business.

Menu and Pricing Accuracy

All menu items must accurately reflect current pricing. While we display disclaimers that prices are subject to change, we expect strict accuracy. Sale prices must be honored. If a user reports that you did not honor a sale price, we may penalize your vendor account, including suspension or removal. You are responsible for keeping all menu information, including pricing, up-to-date at all times.

Food Safety and Compliance

All food items posted on your vendor page must follow state and city guidelines for food products served by food trucks, food stands, catering operations, and home kitchens. You must comply with all applicable food safety regulations. We provide tools such as allergen filters and recommend that you use them to help users make informed choices. Failure to comply with food safety requirements may result in disciplinary action.

Location Accuracy

Vendors are responsible for keeping all information up to date at all times. This is especially important for location data, as our platform uses location-based services. Vendors can pin specific locations for pop-ups and events—these must always be accurate and current. Inaccurate location data may harm users and may result in disciplinary action.

Offers and Specials

Vendors represent their offerings by creating offers or specials on their vendor page. You are solely responsible for the accuracy and legality of all offers and promotions you publish. FoodyDex does not verify, endorse, or guarantee any vendor promotions or representations.

Bookings

Our platform allows users to submit booking inquiries via a form. Communication is conducted by email. Vendors contact users directly to arrange bookings outside of FoodyDex. We do not collect payments for bookings. We are not responsible for disputes, cancellations, no-shows, or any other matter between users and vendors. You are solely responsible for your cancellation and no-show policies and for resolving any disputes with users.

Reviews and Moderation

Reviews are moderated by the FoodyDex team. Removal of reviews is only allowed by FoodyDex team members. To report a review, email report@foodydex.com. We have no obligation to remove any review and may moderate content at our sole discretion.

Vendor Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at FoodyDex's option), indemnify, and hold FoodyDex and its affiliates, officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: (i) your breach of these Vendor Terms or the general Terms of Service, (ii) your use of the platform as a vendor, (iii) your listings, content, offerings, food products, or conduct, (iv) any interaction between you and users, (v) any injury, illness, allergic reaction, or other harm allegedly caused by your food or services, (vi) any violation of law or third-party rights, or (vii) any dispute between you and a user. This indemnification applies regardless of FoodyDex's negligence and however the claim may be caused.

Vendor Account Termination

Vendors may terminate their account by going to the dashboard, then Vendor Security menu, and selecting "Delete account" or "Demote account." We may suspend or terminate vendor accounts, or remove or restrict listings, at any time, with or without notice, for any reason, including violations of these Vendor Terms, inaccurate information, failure to honor sale prices, or for the protection of FoodyDex, our users, or third parties.

15. Account Termination

You may terminate your account at any time by going to your dashboard, then Security menu, and selecting "Delete account" (or "Demote account" for vendors). We may suspend or terminate your account, or limit your access to the Service, at any time, with or without notice, for any reason, including if you breach these Terms, violate applicable laws, or we reasonably believe such action is necessary to protect FoodyDex, our users, or third parties. Upon termination, your right to use the Service ceases immediately.

16. Modifications

We may modify these Terms at any time. When we make material changes, we will post the revised Terms on this page and update the "Last updated" date. We may also provide notice by email or through the Service. If you disagree with the revised Terms, you may terminate your account. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

17. General Provisions

These Terms constitute the entire agreement between you and FoodyDex regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent. We may assign these Terms without restriction.
